Terms of Service

The operating rules for using Ellipse safely, professionally, and at agency scale.

1. Agreement

These Terms of Service govern your access to and use of Ellipse by Lanes, including our website, dashboard, agency CRM, notes, content planner, shoot planner, invoices, showcase pages, integrations, and related services.

By creating an account, joining an agency workspace, or using Ellipse, you agree to these Terms. If you use Ellipse for an organization, you represent that you have authority to bind that organization.

2. Accounts And Agency Workspaces

You must provide accurate account information and keep your login credentials secure.

Agency owners and admins are responsible for inviting users, assigning roles, controlling access, managing client data, and ensuring that workspace activity complies with these Terms.

We may suspend or restrict accounts to protect users, prevent abuse, comply with law, or investigate suspected violations.

3. Your Data And Content

You retain ownership of the content and data you enter into Ellipse, including client records, notes, schedules, invoices, files, templates, and showcase content.

You grant Ellipse a limited license to host, process, transmit, display, back up, and use your data only as needed to provide, secure, support, and improve the service.

You are responsible for ensuring that you have the rights and permissions needed to upload, publish, invite, message, or share any client, team, media, invoice, or showcase content.

4. Public Pages, Links, And Invoices

Showcase pages, custom domains, public handles, and public invoice links may be accessible to anyone with the link or domain.

Do not publish confidential, regulated, infringing, misleading, or unauthorized material. You are responsible for reviewing public pages before publishing.

Invoice tools are provided for workflow and recordkeeping. Ellipse does not provide tax, accounting, legal, or payment collection advice.

5. Integrations

You may connect third-party services such as Google Calendar, email providers, storage, messaging links, and billing systems.

When you connect Google Calendar, Ellipse may create or update events in the dedicated Ellipse calendar. For content scheduled to a client with an email address, Ellipse may add that email as an attendee and request Google to send event updates.

Third-party integrations are governed by their own terms. We are not responsible for third-party outages, policy changes, or account restrictions.

6. Billing, Plans, And Manual Pro Access

Paid plans, trials, and manual Pro grants may unlock additional features or limits. Entitlements may change if a subscription expires, is cancelled, is refunded, or an account is banned.

Fees are billed through our payment providers unless otherwise agreed. You are responsible for applicable taxes and for keeping billing information accurate.

Manual Pro grants are discretionary operational controls and may be revoked if granted by mistake, abused, or superseded by a commercial agreement.

7. Acceptable Use

You may not use Ellipse to violate law, infringe rights, send spam, distribute malware, harass others, scrape without permission, attack infrastructure, bypass limits, misrepresent identity, or publish unlawful or harmful content.

You may not reverse engineer, resell, overload, or interfere with Ellipse except as allowed by law or a written agreement.

8. AI And Automation

AI-assisted or automation features may generate incomplete, inaccurate, or unsuitable output. You are responsible for reviewing outputs before relying on or sharing them.

Ellipse does not guarantee that AI-generated suggestions, templates, reports, plans, invoices, or messages are legally, financially, or commercially correct.

9. Service Changes

We may add, change, suspend, limit, or remove features as the product evolves. We try to avoid unnecessary disruption but cannot guarantee uninterrupted availability.

Beta, experimental, or coming-soon features may change quickly and may not be covered by support commitments.

10. Disclaimers

Ellipse is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and error-free operation.

You are responsible for backup, compliance, permissions, and review of your own business data and public content.

11. Limitation Of Liability

To the maximum extent permitted by law, Ellipse and its affiliates, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities.

To the maximum extent permitted by law, our aggregate liability for claims relating to the service will not exceed the amounts paid by you to Ellipse for the service during the three months before the event giving rise to the claim.

12. Indemnity

You agree to defend, indemnify, and hold Ellipse harmless from claims, damages, liabilities, costs, and expenses arising from your use of the service, your content, your public pages, your integrations, your violation of these Terms, or your violation of law or third-party rights.

13. Termination

You may stop using Ellipse at any time. We may suspend or terminate access if you violate these Terms, create risk, fail to pay, or if continued service becomes unlawful or impractical.

After termination, certain provisions will survive, including data ownership, payment obligations, disclaimers, limitations of liability, indemnity, and dispute provisions.

14. Governing Law

These Terms are governed by the laws applicable to Ellipse by Lanes, without regard to conflict of law rules. Venue and dispute procedures may be updated in a future commercial agreement or enterprise order form.

15. Changes To Terms

We may update these Terms as Ellipse evolves. If changes are material, we will provide notice through the product, website, or email where appropriate. Continued use after the effective date means you accept the updated Terms.
